Terms of Service

These Terms of Service ("Terms") are an agreement between you and WozJobs Inc. ("WozJobs", "we", "us"), a company based in Toronto, Ontario, Canada. They cover three things:

  • The Site: wozjobs.ca and any other website we operate.
  • The Services: the software design and development work we do for clients as an agency.
  • The Apps: the products we build and publish ourselves, including the BattleTower game and the Languido translation app, together with the servers behind them.

By using the Site or an App, or by engaging us for Services, you agree to these Terms and to our Privacy Policy. If you do not agree, please do not use them. Sections 1 through 3 and 7 through 12 apply to everyone. Section 4 applies to agency clients. Sections 5 and 6 apply to users of the Apps.

1. Who can use our products

You must be at least 13 years old (or the age of digital consent where you live, if higher) to create an account in an App. If you are under the age of majority, you may use the Apps only with the permission of a parent or guardian who agrees to these Terms on your behalf. If you use the Site or Services for a company, you confirm that you have authority to bind that company.

2. Using the Site

The Site describes our work and lets you book a consultation. You may browse it for lawful purposes. You may not scrape it, probe or attack it, interfere with its operation, or use the contact form to send unsolicited marketing or anything unlawful. The admin area of the Site is for our staff only.

Everything on the Site, including text, graphics, logos, images, case studies and code, belongs to WozJobs or its licensors and is protected by copyright and trademark law. Client logos and testimonials are shown with permission and remain the property of those clients. You may not reuse any of it without written permission.

Booking a consultation does not create a contract for Services. Consultations are free and without obligation on either side. Any estimate we give during a consultation is indicative until it is confirmed in writing.

3. Acceptable use

Across the Site, Services and Apps, you agree not to:

  • break any law or infringe anyone's rights;
  • upload or transmit malware, or attempt to gain unauthorised access to any system, account or data;
  • reverse engineer, decompile or tamper with an App or its servers, except where the law allows it;
  • use bots, automation or modified clients to gain an unfair advantage, farm rankings or credits, or disrupt other users;
  • harass, threaten or abuse other users, or use an offensive display name;
  • impersonate anyone, or misrepresent your affiliation with WozJobs;
  • resell or commercially exploit an App or the Site without our written permission.

4. Agency services

4.1 Statements of work

Each project is defined by a written proposal, statement of work, or agreement (a "SOW") that sets out the scope, deliverables, timeline and fees. The SOW forms part of these Terms. If a SOW and these Terms conflict, the SOW governs for that project. Changes to scope are agreed in writing and may affect price and timeline.

4.2 Fees and payment

Fees are stated in Canadian dollars unless the SOW says otherwise, and exclude applicable taxes such as HST. Unless the SOW says otherwise, invoices are due within 15 days. We may pause work on overdue accounts and charge interest of 1.5% per month (19.56% per year) on late amounts. Third-party costs such as hosting, domains, app store fees and paid APIs are passed through at cost unless otherwise agreed.

4.3 Client responsibilities

You will provide the content, access, credentials, feedback and approvals we reasonably need, on time. You are responsible for the accuracy and legality of the material you give us, for having the rights to use it, and for the way your product is used once delivered. Where we build something that handles your customers' personal information, you are responsible for your own privacy obligations to those customers, and we act on your instructions as described in our Privacy Policy.

4.4 Intellectual property

When a project is paid in full, you own the custom deliverables created specifically for you under the SOW, including their source code, unless the SOW says otherwise. We keep ownership of our pre-existing tools, libraries, templates, know-how and any general-purpose code we developed independently of the project ("WozJobs Materials"). Where WozJobs Materials are included in a deliverable, you receive a perpetual, non-exclusive licence to use them as part of that deliverable. Open-source components remain under their own licences. Until payment in full, all deliverables remain our property and are licensed to you for evaluation only.

4.5 Portfolio rights

Unless you tell us otherwise in writing, we may name you as a client and show non-confidential parts of the work in our portfolio and marketing. We will never disclose confidential information or unreleased features without permission.

4.6 Confidentiality

Each of us will keep the other's confidential information private, use it only for the project, and protect it with reasonable care. This obligation survives the end of the project and does not apply to information that is public, already known, independently developed, or required to be disclosed by law.

4.7 Warranty and support

We warrant that deliverables will materially conform to the SOW for 30 days after acceptance. During that period we will fix conforming defects at no charge. Beyond that, support and maintenance are available under a separate agreement. This warranty does not cover changes made by you or third parties, third-party services, or use outside the intended purpose.

4.8 Cancellation

Either party may end a project on 14 days' written notice. You will pay for work completed and non-cancellable costs incurred up to the end date, and we will hand over the work completed to that point once paid. Deposits are non-refundable unless the SOW says otherwise.

5. The Apps: general terms

5.1 Licence

We grant you a personal, non-exclusive, non-transferable, revocable licence to install and use each App on devices you own or control, in line with these Terms and the rules of the app store you downloaded it from. The Apps are licensed, not sold. We and our licensors keep all rights not expressly granted.

5.2 App store terms

If you got an App from the Apple App Store or Google Play, that store's terms also apply, and the store is not responsible for the App or for supporting it. Apple and Google are third-party beneficiaries of these Terms for the Apps and may enforce them against you.

5.3 Accounts

Some features need an account, which is created with an email address and a verification code. You are responsible for keeping your account secure and for everything done under it. Tell us promptly if you believe your account has been compromised. You may delete your account at any time from within the App or by emailing us.

5.4 Purchases, credits and virtual items

Apps may sell credits, packs or other virtual items. These are a limited licence to use a feature inside the App, have no cash value, cannot be transferred or exchanged, and may be modified or discontinued if we change or shut down a feature. Purchases through an app store are subject to that store's refund policy. Purchases made directly through us on the web are final once the credits have been used, except where the law gives you a refund right. Prices may change, and we will honour the price shown at the time of purchase.

5.5 Availability and changes

We may update, change or discontinue an App or any feature, including online services, at any time. Online features such as matchmaking, sync and cloud processing depend on servers and third-party providers that may be unavailable from time to time. We will give reasonable notice where we can before shutting down a paid feature.

5.6 Your content

You keep ownership of anything you create or upload in an App, such as display names, transcripts, vocabulary and progress. You grant us a licence to store, process and transmit it as needed to run the App for you. You are responsible for making sure you have the right to share anything you upload.

5.7 Feedback

If you send us suggestions or feedback, we may use them without obligation to you.

6. App-specific terms

6.1 BattleTower

  • Fair play. Online matches run the game on both players' devices and the server relays inputs. Modified clients, memory editing, exploiting bugs, colluding to manipulate ratings, and deliberate disconnecting to avoid losses are prohibited.
  • Results and ratings. A match counts only when both players report a consistent outcome. Disconnecting during a match after the reconnection grace period counts as a loss. Ratings, tiers and leaderboard positions are determined by our system, are provided for entertainment, and may be adjusted or reset to fix errors or address cheating. They are not property and have no value outside the game.
  • Friends and names. Display names must not be offensive, misleading or impersonate others. We may change names that break this rule.
  • Enforcement. We may void matches, reset ratings, suspend or ban accounts, and block devices to protect the integrity of the game.

6.2 Languido

  • Translation accuracy. Languido uses automated speech recognition, machine translation and AI language models. Translations can be wrong, incomplete or misleading, especially with names, numbers, idioms, overlapping speech and noisy environments. The App marks low-confidence output where it can, but you should always verify anything important.
  • Not for critical use. Do not rely on Languido as your only means of communication in medical, legal, financial, safety or emergency situations, or where a mistranslation could cause harm. It is not a substitute for a professional interpreter.
  • Recording others. You are responsible for complying with the laws on recording and processing conversations where you are, including telling other participants when required.
  • Cloud features and credits. Premium models are billed against your credit balance per use, at rates shown in the App. Cloud features send content to third-party providers as described in our Privacy Policy. Free-tier providers may impose their own daily limits.
  • Language packs and offline mode. Offline features depend on Apple frameworks and on-device models, which may vary by device and iOS version.

7. Termination

You can stop using the Site or an App at any time, and delete your account from within the App or by emailing us. We may suspend or terminate your access if you breach these Terms, if required by law, or if we discontinue a product. Sections that by their nature should survive (including payment obligations, intellectual property, disclaimers, limitation of liability and governing law) survive termination.

8. Disclaimers

Except as expressly stated in a SOW, the Site and Apps are provided "as is" and "as available". To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and that the Site or Apps will be uninterrupted, error-free or secure. Some jurisdictions do not allow certain warranty exclusions, so some of these may not apply to you.

9. Limitation of liability

To the fullest extent permitted by law, WozJobs and its directors, employees and contractors will not be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill, arising from your use of the Site, Services or Apps, even if we were advised of the possibility.

Our total liability for any claim relating to the Services is limited to the fees you paid us under the relevant SOW in the 12 months before the claim arose. Our total liability for any claim relating to the Site or an App is limited to the greater of the amount you paid us for that App in the 12 months before the claim and CAD $100.

Nothing in these Terms limits liability that cannot be limited by law, including for fraud, wilful misconduct, or death or personal injury caused by negligence. Consumers in some jurisdictions have statutory rights that these Terms do not override.

10. Indemnity

You will defend and indemnify WozJobs against claims, damages and costs (including reasonable legal fees) arising from your breach of these Terms, your content, your use of a deliverable after handover, or your violation of any law or third-party right. We will indemnify you against third-party claims that a deliverable we created, used as intended and unmodified, infringes a Canadian copyright or trademark, provided you notify us promptly and let us control the defence.

11. Governing law and disputes

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada that apply there. You agree to the exclusive jurisdiction of the courts of Ontario, sitting in Toronto, except that either party may seek injunctive relief in any court. If you are a consumer, you may also have the right to bring proceedings in your home jurisdiction. Before starting a claim, we ask that you contact us so we can try to resolve the issue informally.

12. General

  • Changes. We may update these Terms. We will post the new version here and update the date at the top. For material changes to an App we will give notice in the App or by email. Continued use after the change means you accept it. SOWs already signed are not affected by later changes to these Terms unless you agree.
  • Entire agreement. These Terms, the Privacy Policy and any SOW are the whole agreement between us on their subject matter.
  • Severability. If a part of these Terms is unenforceable, the rest remains in effect.
  • Assignment. You may not assign these Terms without our consent. We may assign them to a successor of our business.
  • Force majeure. Neither party is liable for delays caused by events beyond its reasonable control, other than payment obligations.
  • Language. These Terms are written in English. Les parties ont exigé que la présente convention soit rédigée en anglais.
